These Terms and Conditions govern the use of this website and the engagement of legal services from Saraburi Lex. Please read them carefully. If you engage our services, you agree to these terms. If you do not agree, you should not use this website or engage our services.
1. Definitions
- "We", "Us", "Our", "Saraburi Lex" — the legal practice operating at 263 Phahonyothin Road, Pak Phriao, Mueang, Saraburi 18000, Thailand.
- "You", "User", "Client" — any person or entity using this website or engaging our services.
- "Services" — the construction law advisory services described on this website, including contract drafting, claim counsel, and pre-tender review.
- "Agreement" — these Terms and Conditions, together with any engagement letter or service-specific terms agreed between the parties.
- "Content" — all text, documents, deliverables, memoranda, and materials produced by us in the course of an engagement.
- "Website" — the website accessible at saraburid and all associated pages.
2. Acceptance of Terms
By using this website or submitting an enquiry, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation.
A formal engagement commences upon the execution of an engagement letter. The use of this website alone does not create a lawyer-client relationship.
3. Service Description
Saraburi Lex provides construction law advisory services in Thailand, with a focus on FIDIC contract structures and Thai mandatory law. The services available through this website are:
- Construction Contract Drafting & FIDIC Adaptation — preparation and review of construction contracts for projects in Thailand
- Construction Claim & Variation Counsel — assessment of live project claims including extension of time and variation orders
- Pre-Tender Contract Review for Bidders — focused review of tender contracts prior to pricing
Services are available primarily to clients with projects located in or governed by Thai law. Scope is defined in each engagement letter. We reserve the right to decline to act in any matter at our discretion.
4. User Responsibilities
In using this website and engaging our services, you agree to:
- Provide accurate, complete, and timely information relevant to any engagement
- Promptly notify us of any change in circumstances that may affect the scope of services
- Use this website and any deliverables for lawful purposes only
- Not attempt to circumvent, interfere with, or disrupt the proper function of this website
- Not share, republish, or distribute our deliverables in ways inconsistent with the engagement scope
The quality of advice we are able to provide depends substantially on the completeness and accuracy of information you supply. We are not liable for advice given on the basis of incomplete or inaccurate instructions.
5. Intellectual Property
All original content on this website — including text, structure, and design — belongs to Saraburi Lex. You may access and use the website for personal, non-commercial reference. You may not copy, reproduce, or republish website content without our prior written consent.
Deliverables produced under an engagement — memoranda, draft contracts, review letters — are provided for your use within the scope of that engagement. The underlying methodology and professional knowledge informing those deliverables remain with Saraburi Lex.
We grant you a limited, non-exclusive, non-transferable right to use deliverables for the purposes for which they were prepared. Redistribution or use for purposes outside the engagement scope requires written consent.
6. Payment Terms
Service fees are denominated in Thai Baht (฿) and are as stated at the time of engagement. Fees are confirmed in the engagement letter prior to commencement of work. The published prices on this website are indicative and may be adjusted for scope in individual engagements.
- Payment is due within the period specified in the engagement letter, typically within 14 days of invoice
- We may require payment of a retainer or deposit before commencing work on certain engagements
- Late payment may result in suspension of services until the outstanding amount is settled
Refund policy: Fees paid for work already completed are not refundable. Where a matter is terminated before completion, fees for work done to date are payable, and any balance from a retainer held will be returned within 14 days. We will discuss refund arrangements fairly in the event of disputes about scope.
7. Service-Specific Terms
The following terms apply to each service category:
Contract Drafting & FIDIC Adaptation
Deliverables are prepared on the basis of information provided by you. We advise on Thai law implications and FIDIC structure, but the final decision on contract terms rests with the instructing party. A parallel Thai-language version, where included, is for reference and the English version prevails unless otherwise agreed.
Claim & Variation Counsel
Our assessment is based on documents provided at the time of instruction. If additional documents come to light after delivery of advice, the assessment may need to be revised. We are not responsible for updating advice based on documents not disclosed during the engagement.
Pre-Tender Contract Review
The review memorandum is prepared for use by the instructing bidder. It is not intended to be shared with the employer or tender authority. The review addresses contractual risk from a bidder's perspective and does not constitute legal advice on the bidder's overall position in any negotiations or disputes.
8. Confidentiality
We treat all information shared with us in the course of an engagement as confidential. We will not disclose client information to third parties without your consent, except where required by law, court order, or our professional obligations as registered Thai lawyers.
We do not act for parties with conflicting interests in the same matter without the informed consent of all parties. A conflict check is conducted before each engagement commences.
9. Disclaimers
General information on this website is provided for reference only and does not constitute legal advice. Reading or using this website does not create a lawyer-client relationship.
Construction law involves project-specific facts, contractual contexts, and legal circumstances that vary considerably between matters. No general information on this site should be relied upon as applicable to any specific situation without obtaining advice specific to that situation.
We do not make representations about the likely outcome of any matter. Advice reflects our professional assessment of the position at the time of instruction and on the basis of information provided. Outcomes in construction disputes and claims depend on many factors outside our control.
10. Limitation of Liability
To the fullest extent permitted by Thai law, our liability in connection with any engagement is limited to direct losses arising from our negligence or breach of professional duty, and shall not exceed the fees paid for the specific engagement giving rise to the claim.
We exclude liability for:
- Loss of profit, revenue, or opportunity not arising directly from our negligence
- Losses arising from reliance on incomplete or inaccurate information provided by you
- Losses arising from events beyond reasonable control, including changes in law or court decisions that affect the position advised
- Use of deliverables for purposes outside the scope of the engagement for which they were prepared
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under Thai law.
11. Indemnification
You agree to indemnify Saraburi Lex against any claims, losses, or costs (including reasonable legal costs) arising from your misuse of this website, breach of these terms, or use of our deliverables outside the scope for which they were prepared. This indemnity applies to the extent that the claim is not attributable to our own negligence or breach of duty.
12. Termination
Either party may terminate an engagement on reasonable notice in writing. We may terminate immediately where:
- A conflict of interest emerges that cannot be resolved with appropriate consents
- We conclude that continuing the engagement would require us to act in a manner inconsistent with our professional obligations
- Fees remain unpaid beyond the period specified in the engagement letter
On termination, fees for work completed to the date of termination remain payable. Clauses 5, 8, 9, 10, 11, and 13 survive termination.
13. Dispute Resolution
These terms are governed by the laws of Thailand. In the event of a dispute arising from or relating to an engagement or these terms, we ask that you first contact us directly so that we may seek to resolve the matter informally.
If informal resolution is not reached within 30 days of written notice, the dispute may be referred to mediation under procedures agreed between the parties. Where mediation is unsuccessful or not agreed, the dispute shall be subject to the exclusive jurisdiction of the courts of Saraburi Province, Thailand.
Professional complaints may also be addressed to the Lawyers Council of Thailand, which regulates the conduct of registered Thai lawyers.
14. General Provisions
- Entire agreement. These terms, together with any engagement letter, form the entire agreement between the parties in respect of the subject matter and supersede prior communications.
- Severability. If any provision of these terms is found unenforceable, that provision shall be severed and the remainder shall continue in force.
- Waiver. Failure to enforce any provision at any time does not constitute a waiver of the right to enforce it subsequently.
- Assignment. You may not assign your rights or obligations under these terms without our prior written consent. We may assign the benefit of these terms in connection with a transfer of our practice.
- Notices. Formal notices should be sent by email to legal@saraburid or by post to our registered address.
15. Changes to These Terms
We may revise these terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. For existing engagements, changes to these terms will not affect the terms of an engagement letter already in place unless agreed in writing.
Continued use of this website following an update constitutes acceptance of the revised terms for the purposes of website access. For new engagements, the terms in force at the time of the engagement letter apply.
